Athene acquires Apollo Commercial Real Estate Finance
Athene Holding Ltd. has agreed to acquire a commercial real estate loan portfolio from Apollo Commercial Real Estate Finance, Inc. for approximately $9 billion. This transaction allows Athene to expand its asset holdings while providing Apollo with significant liquidity for shareholder distributions and future investments.
The acquisition includes the procurement of the loan portfolio based on 99.7% of the total loan commitments. Once the transaction completes, Apollo expects to realise about $1.4 billion in net cash following the repayment of its financing facilities and debts, translating to roughly $12.05 per share of common stock for its shareholders. Apollo will retain a significant portion of its equity interests in its real estate assets, valued at approximately $446 million as of late September 2025.
This deal offers strategic benefits for both parties involved. Athene is leveraging its financial strength to expand its investment portfolio, thereby enhancing its long-term financial growth. For Apollo, the inflow of cash from the transaction strengthens its balance sheet, providing it with the necessary resources to pursue other strategic opportunities and rewarding its shareholders with liquidity.
This transaction takes place against a backdrop of changing dynamics in the real estate sector, where there's a continual push towards restructuring and optimization of asset portfolios. The infusion of capital and the shift of assets are likely reflective of Apollo’s strategy to enhance returns and streamline its operations amid fluctuating market conditions. Athene’s acquisition may prompt similar moves among its competitors as financial entities seek to rebalance their asset allocations and capitalize on market opportunities.
The transaction, already approved by ARI’s board following a unanimous recommendation from a special committee of independent directors, now awaits the green light from ARI’s common stockholders. Market participants will be closely watching for further regulatory approvals and the closing process, which could shape the competitive landscape in commercial real estate financing.
