California Water Service Group has announced its acquisition of Nexus Water Group's water and wastewater systems in Nevada and Oregon for $218 million. This move strengthens California Water's position as the largest regulated water utility in the western United States and sets the stage for future growth. The agreement includes approximately 36,000 equivalent residential connections and a regulated rate base estimated at $109 million as of December 2025.

The transaction will be financed through a mix of working capital, existing debt, and equity facilities. California Water's chairman and CEO, Martin A. Kropelnicki, emphasized the acquisition's significance as the company marks its centennial year. It improves their service network, which will cover about two million people across 584,000 connections in seven western states.

Strategically, the acquisition allows California Water to expand its footprint in the western region's water utility market, enhancing operational efficiencies. Kropelnicki noted that integrating these systems offers employee development opportunities and aims to enhance service for customers. The company projects that the deal will become accretive within a year of closing, paving the way for further capital investments in the acquired territories.

In terms of market dynamics, this acquisition underscores a trend among regulated utilities to secure footholds across multiple jurisdictions, capitalizing on regional market synergies and regulatory environments. This consolidation comes amid growing pressures on water utility companies to scale up infrastructure and enhance service delivery. Competitors within the sector may observe this expansion as indicative of potential market shifts and increased competition for similar resource acquisitions.

The acquisition is expected to complete by the end of 2026, pending regulatory approvals, including consent from respective public utility commissions. With the boards of both companies unanimously approving the deal, all eyes will be on how swiftly California Water can integrate Nexus Systems and achieve projected efficiencies. Baker McKenzie provided legal counsel, ensuring the transaction's alignment with regulatory standards. As the sector evolves, the outcome of such integrations will be closely monitored for their impact on regional water management strategies.
