Transdigm Group acquires Stellant Systems
TransDigm Group Incorporated has committed to acquire Stellant Systems from Arlington Capital Partners for approximately $960 million in cash. The transaction includes specific tax benefits and positions TransDigm to enhance its offerings within the aerospace and defense sectors.
Stellant Systems, based in Torrance, California, specializes in designing and manufacturing high-power electronic components and subsystems. These products are integral to major aerospace and defense platforms globally, with around half of Stellant's revenue generated from aftermarket sales. The company is expected to achieve approximately $300 million in revenue by the end of 2025. Stellant operates multiple facilities across the United States, including in Pennsylvania, New York, and Massachusetts, and employs about 950 personnel.
Mike Lisman, CEO of TransDigm, stated that Stellant’s portfolio aligns well with TransDigm’s strategy of investing in highly engineered, proprietary products that yield substantial aftermarket revenue. The acquisition is expected to bolster TransDigm’s presence across both commercial and defense platforms, adding value to its existing product and service range. This approach fits TransDigm’s long-term objective of generating equity value equivalent to private equity return benchmarks.
In the broader aerospace and defense sector, TransDigm's acquisition of Stellant highlights the ongoing industry focus on aftermarket services, which continue to drive revenue and profitability. The strategic expansion of proprietary components underscores a trend where companies seek to enhance their supply chain control and product differentiation. This transaction may prompt competitors to re-evaluate their own strategies concerning aftermarket and proprietary offerings.
The completion of the acquisition remains contingent upon receiving regulatory approval in the United States, as well as satisfying other customary closing conditions. These regulatory reviews will determine the final timeline for closing, but no significant hurdles are currently anticipated.
